1. Agreement

These Terms of Service (the “Agreement” or “Terms”) constitute a legally binding agreement by and between OK2 HEALTH APPS LLC (“Company,” “we,” “us,” or “our”) and you or your company (in either case, “you,” “your,” or “user”) concerning your use of Chess.ing, our mobile and web chess application (the “Application,” “Service,” or “Chess.ing”) and the services available through the Application.

By downloading, installing, accessing, or using Chess.ing, you represent and warrant that you have read and understood, and agree to be bound by, these Terms and our Privacy Policy, which is incorporated herein by reference and made part of this Agreement.

IF YOU DO NOT UNDERSTAND THIS AGREEMENT, OR DO NOT AGREE TO BE BOUND BY IT OR THE PRIVACY POLICY, YOU MUST IMMEDIATELY STOP USING THE APPLICATION AND CEASE USING THE SERVICES.

2. Privacy Policy

By using the Application, you consent to the collection and use of certain information about you, as specified in our Privacy Policy. OK2 HEALTH APPS LLC encourages users to frequently check our Privacy Policy for changes.

3. Changes to Agreement and Privacy Policy

Internet and wireless technology and the applicable laws, rules, and regulations change frequently. ACCORDINGLY, OK2 HEALTH APPS LLC RESERVES THE RIGHT TO CHANGE THIS AGREEMENT AND ITS PRIVACY POLICY AT ANY TIME UPON NOTICE TO YOU, TO BE GIVEN BY THE POSTING OF A NEW VERSION OR A CHANGE NOTICE IN THE APPLICATION OR ON OUR WEBSITE.

IT IS YOUR RESPONSIBILITY TO REVIEW THIS AGREEMENT AND THE PRIVACY POLICY PERIODICALLY. IF AT ANY TIME YOU FIND EITHER UNACCEPTABLE, YOU MUST IMMEDIATELY STOP USING THE APPLICATION AND CEASE USING THE SERVICES.

Unless we obtain your express consent, any revised Privacy Policy will apply only to information collected after such time as the revised Privacy Policy takes effect, and not to information collected under any earlier Privacy Policies.

4. Description of Service

Chess.ing is a mobile and web chess application developed and operated by OK2 HEALTH APPS LLC that provides:

  • Online and offline chess gameplay
  • User account management and authentication
  • Game statistics and progress tracking
  • Multiplayer matchmaking and gameplay
  • Chess learning and improvement features
  • Cross-platform play between mobile and web versions

5. Eligibility

BY USING THE APPLICATION OR SERVICES, YOU REPRESENT AND WARRANT THAT YOU ARE AT LEAST 8 YEARS OLD AND ARE OTHERWISE LEGALLY QUALIFIED TO ENTER INTO AND FORM CONTRACTS UNDER APPLICABLE LAW. Any individual using the Application or Services on behalf of a company further represents and warrants that they are authorized to act and enter into contracts on behalf of that company. This Agreement is void where prohibited.

Users between 8-17 years old must have parental consent to use Chess.ing. We comply with applicable children’s privacy laws (COPPA).

6. User Accounts and Registration

6.1 Account Creation

  • You must create an account to access certain features of Chess.ing
  • You must provide accurate and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You represent and warrant that all information you provide will be current, truthful, complete, and accurate

6.2 Password Protection and Account Security

You are entirely responsible for maintaining the confidentiality of your password. You may not use the account, username, or password of any other user at any time. You agree to notify OK2 HEALTH APPS LLC immediately of any unauthorized use of your account, username, or password.

OK2 HEALTH APPS LLC shall not be liable for any loss that you incur as a result of someone else using your password, either with or without your knowledge. You may be held liable for any losses incurred by OK2 HEALTH APPS LLC, its affiliates, officers, directors, employees, consultants, agents, and representatives due to someone else’s use of your account or password.

You must also promptly notify us if any credit/debit card that you have provided is lost, stolen, or used without permission.

6.3 Account Termination

  • You may delete your account at any time through the Application settings
  • We may suspend or terminate your account if you violate these Terms
  • Upon account termination, your access to the Service will cease

7. License and Permitted Uses

Subject to your compliance with the terms and conditions of this Agreement, OK2 HEALTH APPS LLC grants you a non-exclusive, non-sublicensable, revocable, non-transferable license to use Chess.ing.

7.1 Permitted Uses

You may use Chess.ing for:

  • Playing chess games in accordance with standard chess rules
  • Improving your chess skills through practice and analysis
  • Connecting with other chess players for friendly competition
  • Personal, non-commercial entertainment purposes

7.2 License Restrictions

THE APPLICATION, OR ANY PORTION OF THE APPLICATION, MAY NOT BE REPRODUCED, DUPLICATED, COPIED, MODIFIED, SOLD, RESOLD, DISTRIBUTED, VISITED, OR OTHERWISE EXPLOITED FOR ANY COMMERCIAL PURPOSE WITHOUT THE EXPRESS WRITTEN CONSENT OF OK2 HEALTH APPS LLC.

Except as expressly set forth herein, this Agreement grants you no rights in or to the intellectual property of OK2 HEALTH APPS LLC or any other party. The license granted in this section is conditioned on your compliance with the terms and conditions of this Agreement. In the event that you breach any provision of this Agreement, your rights under this section will immediately terminate.

8. Acceptable Use Policy and Prohibited Conduct

8.1 Prohibited Conduct

You represent and warrant that you will NOT:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any applicable laws or regulations
  • Provide false, misleading, or inaccurate information
  • Impersonate or misrepresent affiliation with any person or entity
  • Harass, abuse, or harm other users
  • Use offensive, inappropriate, or discriminatory language
  • Cheat or use automated tools to gain unfair advantages
  • Use chess engines, computer assistance, or automated tools during gameplay
  • Attempt to hack, reverse engineer, or compromise the Service
  • Share your account credentials with others
  • Create multiple accounts to circumvent restrictions
  • Harvest or collect information about other users
  • Interfere with the use of the Application by other users
  • Send unsolicited communications or spam through the Application

8.2 Chess Engine and Assistance Policy

Use of chess engines, computer assistance, or automated tools during gameplay is strictly prohibited. We employ detection mechanisms to identify and prevent cheating. Violations may result in immediate account suspension or termination.

8.3 Data Mining and Automated Access

You may not use or attempt to use any engine, software, tool, agent, or other device or mechanism (including browsers, spiders, robots, avatars, or intelligent agents) to harvest or otherwise collect information from the Application for any use, including use on third-party websites or services.

9. User-Generated Content

9.1 Content Responsibility

You are solely responsible for any content you create, share, or transmit through the Service. You represent that you have all necessary rights to any content you submit and agree not to submit content that is illegal, harmful, or violates these Terms.

9.2 Content License

BY SUBMITTING CONTENT TO CHESS.ING, YOU HEREBY GRANT OK2 HEALTH APPS LLC A PERPETUAL, FULLY PAID-UP, WORLDWIDE, SUBLICENSABLE, IRREVOCABLE, ASSIGNABLE LICENSE TO COPY, DISTRIBUTE, TRANSMIT, PUBLICLY DISPLAY OR PERFORM, EDIT, TRANSLATE, REFORMAT AND OTHERWISE USE YOUR CONTENT IN CONNECTION WITH THE OPERATION OF THE APPLICATION, SERVICES OR ANY OTHER SIMILAR OR RELATED BUSINESS, IN ANY MEDIUM NOW EXISTING OR LATER DEVISED.

You further agree that OK2 HEALTH APPS LLC may publish or otherwise disclose your information in connection with its exercise of the license granted under this section. You agree to waive any claims arising from or relating to the exercise by OK2 HEALTH APPS LLC of the rights granted under this section. You will not be compensated for any exercise of the license granted under this section.

9.3 Content Monitoring

We reserve the right to monitor, review, and remove content that violates these Terms. We are not obligated to monitor all user content but may do so at our discretion.

10. Intellectual Property Rights

10.1 Our Rights

Chess.ing and all related content, features, and functionality are owned by OK2 HEALTH APPS LLC and protected by copyright, trademark, and other intellectual property laws. All content and materials available through the Application, including the Chess.ing logo, design, text, graphics, and other files, and the selection, arrangement, and organization thereof, are either owned by OK2 HEALTH APPS LLC or are the property of our licensors and suppliers.

10.2 Restrictions

You may not:

  • Copy, modify, distribute, or create derivative works of the Service
  • Use our trademarks, logos, or branding without permission
  • Reverse engineer or attempt to extract source code from the application
  • Use any Chess.ing marks or branding in connection with any product or service that is not ours

As OK2 HEALTH APPS LLC asks others to respect our intellectual property rights, we respect the intellectual property rights of others. If you believe that material available through Chess.ing infringes your copyright, please contact us with detailed information including identification of the copyrighted work and the allegedly infringing material.

11. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Chess.ing, you consent to our privacy practices as described in the Privacy Policy.

12. Third-Party Services

12.1 Integration Services

Chess.ing integrates with third-party services including:

  • Google Cloud Platform and Firebase for hosting and authentication
  • Payment processors (Stripe, Razorpay) for in-app purchases
  • Analytics services for app improvement
  • App stores (Google Play Store, Apple App Store) for distribution

12.2 Third-Party Terms

Your use of integrated third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or policies of third-party services.

By registering with Chess.ing, you consent to receive periodic email communications regarding the services. As part of registration, you may also elect to receive periodic email communications regarding special offers and other promotions.

You may opt-out of receiving promotional communications at any time by following the unsubscribe instructions contained in each communication or changing the email preferences in your account.

By completing and submitting information to OK2 HEALTH APPS LLC via Chess.ing, including through contact forms, you consent to be contacted by OK2 HEALTH APPS LLC by email, telephone, or other method concerning your submission.

14. In-App Purchases and Payments

14.1 Payment Terms

  • Certain features may require in-app purchases or subscription fees
  • All purchases are processed through secure third-party payment processors
  • Prices are displayed in your local currency and include applicable taxes
  • You are responsible for all fees incurred as a result of services performed by OK2 HEALTH APPS LLC

14.2 Automatic Renewal

CERTAIN PAID SERVICES RENEW AUTOMATICALLY. ACCORDING TO THE TERMS OF AUTOMATIC RENEWAL, OK2 HEALTH APPS LLC WILL CHARGE AND COLLECT FROM YOU ALL APPLICABLE FEES AND CHARGES AT THE ONSET OF EACH NEW PAYMENT PERIOD UNLESS YOU CANCEL YOUR SUBSCRIPTION SERVICES PRIOR TO THE NEW PAYMENT PERIOD.

14.3 Refunds and Cancellation

  • ALL FEES AND CHARGES ARE NONREFUNDABLE, AND THERE ARE NO CREDITS FOR PARTIALLY USED MEMBERSHIP PERIODS
  • Refund policies are governed by the applicable app store (Google Play Store, Apple App Store)
  • You can manage and cancel subscriptions through your device’s subscription settings
  • Contact us directly for refund requests related to our services
  • We reserve the right to refuse refunds for violations of these Terms

OK2 HEALTH APPS LLC reserves the right, in our sole discretion, to change the fees and charges in effect, or to add new fees and charges, by posting such changes in the Application or providing notice to you.

15. Disclaimers and Limitation of Liability

15.1 Service Availability

We strive to maintain Service availability but cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or technical issues. We reserve the right to modify or discontinue features at our discretion.

15.2 Disclaimer of Warranties

OK2 HEALTH APPS LLC, ON BEHALF OF ITSELF AND ITS LICENSORS AND SUPPLIERS, HEREBY DISCLAIMS ALL WARRANTIES. THE APPLICATION AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, OK2 HEALTH APPS LLC EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE APPLICATION, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.

15.3 Data Loss Acknowledgment

YOU HEREBY ACKNOWLEDGE THAT A CATASTROPHIC DISK FAILURE OR OTHER EVENT COULD RESULT IN THE LOSS OF ALL OF THE DATA RELATED TO YOUR ACCOUNT. YOU AGREE AND UNDERSTAND THAT IT IS YOUR RESPONSIBILITY TO BACKUP YOUR DATA AND TO ENSURE SUCH BACKUPS ARE SECURE.

15.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OK2 HEALTH APPS LLC OR ITS LICENSORS OR SUPPLIERS BE LIABLE FOR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST DATA OR CONFIDENTIAL OR OTHER INFORMATION, LOSS OF PRIVACY, COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, FAILURE TO MEET ANY DUTY, NEGLIGENCE, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APPLICATION OR SERVICES.

THE MAXIMUM LIABILITY OF OK2 HEALTH APPS LLC AND ITS LICENSORS AND SUPPLIERS TO YOU UNDER ALL CIRCUMSTANCES WILL BE EQUAL TO THE AGGREGATE PRICE YOU PAID TO OK2 HEALTH APPS LLC DURING THE SIX MONTHS PRECEDING THE INCIDENT GIVING RISE TO SUCH LIABILITY.

16. Indemnification

You agree to indemnify and hold harmless OK2 HEALTH APPS LLC, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles.

17.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

  1. Good faith negotiation
  2. Binding arbitration if negotiation fails
  3. Litigation only for intellectual property disputes or injunctive relief

18. General Provisions

18.1 Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OK2 HEALTH APPS LLC regarding your use of the Service.

18.3 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights and obligations without restriction.

18.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

19. Platform-Specific Terms

19.1 Google Play Store

If you download Chess.ing from Google Play Store, you acknowledge that:

  • These Terms are between you and OK2 HEALTH APPS LLC, not Google
  • Google is not responsible for the Service or these Terms
  • Google is a third-party beneficiary with rights to enforce these Terms

19.2 Apple App Store

If you download Chess.ing from the Apple App Store, you acknowledge that:

  • These Terms are between you and OK2 HEALTH APPS LLC, not Apple
  • Apple is not responsible for the Service or these Terms
  • Apple and its subsidiaries are third-party beneficiaries with rights to enforce these Terms
